A full due diligence means the whole exercise, not just the document review. Alongside the workstream analysis we run the information request list and the Q&A: identifying gaps in the data room, generating targeted questions based on the available documentation, and tracking what's been answered and what's still outstanding.
Deliverables typically include an onboarding memo with a cross-check of the data room against the information memorandum, information request list, Q&A list, employee/client/supplier registers, zoom-in memos on whatever the thesis turns on, a key findings report in xls and pdf, and a clean handover with pre- and post-closing action points, monitoring items and arguments for the SPA negotiation.
